Terms of Service

Effective 11 August 2026

These Terms of Service (“Terms”) govern your access to and use of Promise Ledger(“the Service”). By creating an account or otherwise using the Service, you agree to these Terms. If you are agreeing on behalf of an organization, you confirm you have the authority to bind that organization, and “you” below refers to that organization as well as you personally.

For how we handle your data specifically, see our Privacy Policy, which is incorporated into these Terms by reference.

Who operates this Service

Promise Ledger is currently operated by Ben Sayer as an individual — it is not yet a registered company. We are stating this plainly rather than implying a corporate structure that doesn’t exist yet. If and when Promise Ledger incorporates, these Terms will be updated to reflect the new legal entity, and we will provide notice per Section 15.

The Service

Promise Ledger connects to your email (Gmail and/or Outlook, read-only) and, separately, accepts short manual notes after customer calls. It uses an AI classifier to identify apparent commitments and promises, and presents them for a human to approve, edit, or dismiss. Only human-approved items become official records in your ledger. Private pilot / early access

Promise Ledger is currently offered as a private, invite-only pilot ahead of public launch. During this phase: features may change or be removed without notice; there is no uptime or availability guarantee (see Section 8); and we are actively relying on pilot feedback to shape the product. We will tell you if and when the Service moves out of this pilot phase.

Eligibility and accounts

You must be at least 18 years old and using Promise Ledger for business purposes, not personal or household use, to use the Service. Sign-in is via Google account only. You are responsible for maintaining the security of your Google account and for all activity that occurs under your Promise Ledger account as a result.

Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose, or in a way that violates Google’s or Microsoft’s own API terms of service.
  • Attempt to access another workspace’s data, or circumvent workspace-level access controls.
  • Attempt to reverse engineer, decompile, or extract the underlying models, prompts, or source code of the Service, beyond what applicable law permits despite this restriction.
  • Use automated means to access the Service at a volume or pattern that could degrade it for other users, outside of the Service’s own intended integrations.
  • Resell, sublicense, or provide the Service to third parties as your own offering without our written agreement.

Your content and data

You own your data

You retain all rights to the email content, notes, and other data you connect to or enter into Promise Ledger. We do not claim ownership of it.

The license you grant us

You grant Promise Ledger a limited license to access, process, and store this data solely to provide and improve the Service for you — including sending relevant message content to our AI classification provider (Anthropic) as described in our Privacy Policy. We do not use your content to train shared or public AI models.

Your responsibility for the mailbox you connect

A mailbox typically contains personal data belonging to other people — your colleagues, customers, and correspondents. By connecting a mailbox, you represent that you are authorized to do so, and that you have whatever legal basis, notices, or consents your own organization’s obligations require for that data to be processed this way. For that mailbox content, Promise Ledger acts as a data processor on your instructions, not as the controller — you (or your organization) remain the controller responsible for the underlying data, as reflected in our Data Processing Agreement (available on request, see Section 18).

AI-generated detections are not guaranteed accurate

Promise Ledger’s core function is AI-assisted detection of commitments and promises in email and call notes. This is a genuinely hard language-understanding problem, and the classifier will sometimes miss a real commitment or flag something that isn’t one. That is exactly why every detection requires human review before it becomes an official record — a detection Promise Ledger has surfaced but a human has not approved is not a representation by us that a commitment exists.

You are responsible for reviewing detections and for the business consequences of approving, editing, dismissing, or failing to review them. Promise Ledger is not liable for a commitment that was never detected, or for a decision made in reliance on an unapproved or incorrectly-approved detection.

Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. THIS IS PARTICULARLY TRUE DURING THE PRIVATE PILOT PHASE DESCRIBED IN SECTION 3.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEN SAYER AND PROMISE LEDGER WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) 100 USD. AS THE SERVICE IS CURRENTLY FREE DURING THE PRIVATE PILOT (SECTION 3), THIS CURRENTLY MEANS OUR LIABILITY IS LIMITED TO 100 USD FOR MOST PILOT PARTICIPANTS. NOTHING IN THESE TERMS EXCLUDES LIABILITY THAT CANNOT BE EXCLUDED BY LAW.

Indemnification

You agree to indemnify and hold Ben Sayer and Promise Ledger harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your violation of these Terms, your violation of applicable law, or your misuse of the Service.

Third-party services

Promise Ledger depends on third-party services — Google, Microsoft, Anthropic, Neon, Vercel, and Resend among them — to operate. We are not responsible for their outages, policy changes, or discontinuation, though we will make reasonable efforts to keep the Service working and to notify you of material impacts.

Intellectual property

Promise Ledger, its logo, and the underlying software are owned by Ben Sayer (or, once incorporated, the resulting entity). These Terms do not grant you any rights to our intellectual property beyond the limited right to use the Service as intended.

Fees

Promise Ledger is currently free to use during the private pilot described in Section 3. If and when we introduce paid plans, we will give existing users advance notice before any charge, and continued use after that notice takes effect constitutes acceptance of the new pricing for future billing periods only — never retroactively.

Termination

You may stop using the Service and disconnect your mailbox at any time from Integrations settings. We may suspend or terminate your access if you violate these Terms, or, during the private pilot phase, if we discontinue or materially change the pilot program — we’ll give you reasonable notice where practical. Data deletion on termination is handled per our Privacy Policy.

Changes to these Terms

We may update these Terms as the product and its legal structure (Section 1) change. We will update the effective date above when we do, and for material changes we will provide more prominent notice — for example, by email to registered users.

Governing law and disputes

These Terms, and any dispute arising out of or in connection with them or the Service (including non-contractual disputes), are governed by the laws of England and Wales, without regard to conflict-of-law principles. The courts of England and Wales have exclusive jurisdiction to settle any such dispute, and you and Ben Sayer each irrevocably submit to that jurisdiction. If Ben Sayer’s operating jurisdiction changes — for example, on incorporation in a different jurisdiction — this section will be updated per Section 15’s change process.

Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them in connection with an incorporation, merger, or sale of the business described in Section 1. These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service.
